Shareholders' Meeting of Helvetia Holding AG

The ordinary Shareholders' Meeting of Helvetia Holding AG's shareholders meets every year, usually in April.
The Shareholders' Meeting

• draws up or amends the articles of incorporation
• elects the members of the Board of Directors and the statutory auditors
• approves the annual report and consolidated financial statements
• approves the annual financial statements and passes resolutions on the appropriation of the profit, and in particular determines the dividend
• grants discharge to the members of the Board of Directors
• and passes resolutions on issues that have been entrusted to it under the law or the articles of incorporation.
