Both the Chairman and the other members of the Board of Directors are elected at the Annual General Meeting. Their term of office is one year, after which they may be re-elected.
The Board of Directors is divided into various committees. This allows the Board members to draw on their expertise when taking decisions.
Helvetia has four Board committees. They enable appropriate corporate management and oversight.
Strategy and Governance Committee

Preparation of upcoming resolutions of the Board of Directors relating to the redefinition or amendment of the strategy
Monitoring of strategic risks and measures

The Strategy and Governance Committee also ensures good corporate governance at Helvetia Group, provides advice on urgent matters and assumes those duties and powers delegated to it by the Committee and the Chairman.

Provision of proposals for personnel planning and for the appointment and dismissal of the Chairman and members

Investment and Risk Committee

Verification of the consistency of auditing activities with any existing consulting mandates
Reviewing of the fee structure
The Audit Committee assists the Board of Directors in performing its duties with regard to overall supervision and financial control.
The Audit Committee also ensures optimal cooperation between internal and external control units, the Audit Committee, the Chairman and the Executive Management.
